Adding or removing a shareholder in a UAE free zone company sounds simple — and in some zones, it is. But certain zones make it surprisingly painful with KYC re-approval, in-person notarisation, and 4–6 week timelines.

The two paths

  • Share transfer: existing shareholder sells/gifts shares to new shareholder. Both parties must agree.
  • Capital increase: company issues new shares to new shareholder. Existing shareholders dilute proportionally.

Documents needed

  • Share Transfer Agreement (notarised).
  • Updated Memorandum of Association (MOA) reflecting new shareholding.
  • Board resolution approving the transfer.
  • New shareholder's passport, photo, address proof.
  • If new shareholder is corporate: parent company documents apostilled.
  • KYC for all shareholders (if not already on file).

Costs by zone

  • IFZA: AED 1,500–3,000. Fastest at 5–7 working days.
  • SHAMS: AED 1,500–2,500. Mostly online process.
  • DMCC: AED 5,000–8,000. 2–3 weeks. Notarisation required.
  • DIFC: AED 7,000–12,000. 3–4 weeks. Multiple compliance reviews.
  • ADGM: AED 5,000–10,000. 3–4 weeks.
  • RAK ICC: AED 4,000–7,000. Fast for standard transfers.

Banking implications

After share transfer, banks require updated MOA + KYC for new shareholders. This can trigger an account review. Wio and Mashreq handle it routinely; HSBC sometimes uses it as opportunity to re-examine the relationship — be prepared with updated business plan.

Tax implications

Share transfers between unrelated parties at fair value: no UAE tax. Transfers below fair value to related parties: may trigger transfer pricing review. Personal capital gains: 0% in UAE for individuals (one of UAE's big benefits).

Verdict

If you anticipate frequent shareholder changes (raising capital, founder exits, ESOP), choose IFZA or SHAMS — they make changes painless. DIFC and ADGM are more rigid but offer better dispute resolution. Avoid zones that require physical re-notarisation if you're not based in UAE full-time.
